Terms of Service

1. Agreement to Terms

By accessing or using UniGen (the “Service”), including our website at uni-gen.ai and our mobile application on iOS and Android, you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

UniGen is operated by Elevate Clothing & Accessories LLC (“UniGen”, “we,” “our,” or “us”), a company organized under the laws of Wyoming, United States.

2. Description of Service

UniGen is a mobile-first AI video generation platform. Our Service includes:

  • A mobile application for iOS and Android that allows users to generate short videos from still images using artificial intelligence
  • A companion website at uni-gen.ai that provides information about our studio, our apps, and subscription management
  • Cloud storage for uploaded source images and generated videos
  • Subscription-based access to premium generation capacity

We reserve the right to modify, expand, or discontinue features of the Service at any time.

3. User Accounts

3.1 Account Creation

To use certain features of the Service you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately at hello@uni-gen.ai of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 17 years old (or the age of majority in your jurisdiction, whichever is higher) to use UniGen. By using the Service, you represent and warrant that you meet this age requirement.

3.3 Account Deletion

You may permanently delete your account and all associated content at any time from the Settings screen inside the UniGen mobile app. Account deletion removes your user record, uploaded images, and generated videos from our active database and revokes your authentication. We may retain certain records for a limited period as required by law or for legitimate business purposes (such as fraud prevention).

4. Subscription Plans and Payment

4.1 Web-Only Payment

All subscriptions and credit purchases are processed on our website, not inside the mobile app. The mobile app contains no in-app purchase surface, no pricing information, and no Buy / Subscribe buttons. When you choose to upgrade, the app opens your default web browser to complete the transaction.

4.2 Payment Processor

Payments are processed securely through Stripe, Inc. (“Stripe”). By subscribing, you agree to Stripe’s Terms of Service and Privacy Policy. We do not store your full payment card information on our servers.

4.3 Billing and Renewal

  • Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date
  • Credits are allocated at the beginning of each billing period and do not roll over
  • We reserve the right to change subscription prices with at least 30 days’ notice — price changes apply to your next billing cycle
  • Credit packs are one-time purchases and do not automatically renew

4.4 Cancellation

You may cancel your subscription at any time by visiting your account on uni-gen.ai or by tapping “Manage subscription” in the mobile app. Cancellation takes effect at the end of your current billing period. You will continue to have access to premium features until the end of the billing period for which you have already paid.

4.5 Refund Policy

Subscription fees are generally non-refundable. We may consider refund requests on a case-by-case basis in the following circumstances:

  • Technical issues preventing you from using the Service that we cannot resolve
  • Duplicate charges or billing errors
  • As required by applicable consumer protection laws

To request a refund, email hello@uni-gen.ai within 14 days of the charge. Refund decisions are at our sole discretion unless required otherwise by law.

4.6 Failed Payments

If a payment fails, we may suspend your access to premium features. We will attempt to notify you and provide an opportunity to update your payment method.

5. Credits and Usage

  • Credits are consumed when you generate videos
  • Each video generation deducts a fixed number of credits, shown to you before the transaction completes
  • Unused credits do not roll over between billing periods for subscription plans; credit pack purchases remain on your account until used
  • We reserve the right to adjust credit costs and allocations with reasonable notice
  • Credits cannot be transferred, sold, or exchanged for cash

6. User Content and Intellectual Property

6.1 Your Content

You retain ownership of any content you upload to UniGen (“User Content”). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service.

6.2 Generated Content

Videos generated using UniGen (“Generated Content”) are licensed to you for personal and commercial use, subject to these Terms, our content policy, and the rights of third parties. You may not:

  • Use Generated Content to violate any laws or third-party rights
  • Claim that AI-generated content is human-created in contexts where such disclosure is legally required
  • Use Generated Content for illegal, harmful, fraudulent, or deceptive purposes
  • Represent Generated Content as depicting real events that did not occur

6.3 Prohibited Content

You agree not to upload, generate, or share content that:

  • Is illegal in your jurisdiction or ours
  • Depicts minors in a sexualized manner (strict zero-tolerance — we report such content to the relevant authorities)
  • Infringes on intellectual property, publicity, or privacy rights of others
  • Is non-consensual intimate imagery of real people
  • Contains explicit sexual content, graphic violence, or hate speech
  • Impersonates real people in a way that could reasonably cause harm
  • Is spam, malware, or contains viruses

We reserve the right to remove any content that violates these Terms and terminate accounts of repeat violators without refund.

6.4 Reporting Abuse

Every generated video in the UniGen app has a one-tap report button. Reports are reviewed manually. You can also email abuse reports to hello@uni-gen.ai with the word “REPORT” in the subject line.

6.5 Our Intellectual Property

The Service, including its design, code, name, logo, and all related materials, is owned by UniGen and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Interfere with or disrupt the Service or our servers
  • Attempt to gain unauthorized access to the Service or related systems
  • Use automated systems (scrapers, bots) to access the Service without our express permission
  • Reverse engineer, decompile, or disassemble the mobile application
  • Use the Service to build a competing product
  • Share your account credentials with others

8. Service Availability and Modifications

We strive to provide a reliable Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or unforeseen events. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any loss or damage resulting from such actions.

9. Third-Party Services

Our Service integrates with third-party providers, including:

  • Stripe — payment processing
  • Supabase — authentication, database, and session management
  • Amazon Web Services (AWS) — cloud storage for uploaded images and generated videos
  • fal.ai — AI model provider (image-to-video generation)
  • AppsFlyer — attribution and install tracking
  • PostHog — product analytics
  • Sentry — crash reporting and error monitoring

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers. See our Privacy Policy for details on what each provider processes.

10. AI-Generated Content Disclaimer

AI-generated content may contain errors, inaccuracies, unexpected results, or content that does not faithfully represent the source image. We do not guarantee the accuracy, quality, or suitability of AI-generated content for any particular purpose. You are solely responsible for reviewing Generated Content before using it publicly.

The model may occasionally produce content you did not intend. If you upload an image that the model transforms in a way you find objectionable, you can (a) delete the generation from your history, and (b) use the report button to flag it for our team.

11. Disclaimers and Limitation of Liability

11.1 Service Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIGEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless UniGen and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content or Generated Content, including any claim that either infringes, misappropriates, or otherwise violates the rights of a third party

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through the Settings screen inside the app.

Sections that by their nature should survive termination shall survive, including Sections 6 (Intellectual Property), 10 (AI-Generated Content Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Dispute Resolution).

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Wyoming, United States, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing any formal claim, you agree to first contact us at hello@uni-gen.ai to attempt to resolve the dispute informally. We will respond within 30 days.

14.3 Binding Arbitration

If we cannot resolve a dispute informally within 60 days, disputes will be resolved through binding arbitration in accordance with the rules of JAMS, conducted in Sheridan, Wyoming 82801, United States or at a location mutually agreed upon by the parties.

14.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of any class, consolidated, or representative action.

15. Platform-Specific Terms (Apple App Store / Google Play)

15.1 Apple iOS Users

If you downloaded the UniGen mobile app from the Apple App Store, you acknowledge and agree that:

  • These Terms are concluded between you and UniGen, not with Apple. Apple is not responsible for the app or its content.
  • Apple has no obligation to provide maintenance or support for the app.
  • In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app if applicable. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms, with the right to enforce these Terms against you.

15.2 Google Android Users

If you downloaded the UniGen mobile app from the Google Play Store, you acknowledge that your use of the app is subject to Google Play’s Terms of Service. Google is not responsible for the app or its content.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. For changes that materially affect your rights, we will make reasonable efforts to notify you in advance, such as through email or an in-app notice. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and UniGen regarding the use of the Service and supersede all prior agreements and understandings.
